1. Agreement to Terms & Eligibility

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and VidFrame AI ("VidFrame AI", "we", "us", or "our"), governing your access to and use of the VidFrame AI video creation platform, studio tools, API services, and associated websites (collectively, the "Service").

By creating an account, clicking "Sign Up" or "Get Started", recharging your wallet, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

Eligibility: You must be at least eighteen (18) years of age or possess the legal authority under the laws of your jurisdiction to enter into this agreement. If you represent a company or organization, you represent that you have the authority to legally bind that entity to these Terms.

2. User Accounts & Security

To access the generation studio and scheduling features, you must register an account. You agree to provide accurate, current, and complete information during registration and keep your profile details updated.

Credential Protection: Passwords are cryptographically hashed using robust industry standards and are never stored in plain text. You are strictly responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately at vidframeaiteam@vidframeai.com if you suspect any unauthorized access or security breach.

3. Prepaid Wallet, Settle Mechanics & GST Compliance

VidFrame AI does not charge mandatory recurring monthly subscription fees. The Service operates on a pay-as-you-render prepaid wallet denominated in Indian Rupees (INR).

• Hold on Estimate, Settle on Actual: Before a video generation task begins, an estimated cost hold is placed against your available wallet balance. When video rendering completes, the system calculates the actual duration rendered down to the second and debits the precise amount. Any remaining hold balance is immediately released back to your available balance.
• Graceful Schedule Auto-Pause: If your wallet balance drops below the estimated cost required for a scheduled generation, the platform automatically pauses the affected schedule to avoid failed runs. Your character settings and schedule configuration remain completely intact. Once you recharge your balance, you can resume your schedule with a single click.
• 18% GST Invoicing: All wallet recharge packs calculate applicable statutory Goods and Services Tax (GST) at 18%. An official GST Tax Invoice containing a unique invoice number and transaction ledger is generated upon payment confirmation and remains accessible for download on the Wallet page.
• Refund Policy: Compute charges for completed video renders are non-refundable. For any unspent prepaid wallet balance, you may request a refund by emailing vidframeaiteam@vidframeai.com within fourteen (14) calendar days of recharge. Approved refunds will be remitted to the original payment method minus third-party payment gateway transaction processing fees.

4. AI Video Generation & Algorithmic Disclaimers

VidFrame AI utilizes advanced machine learning and artificial intelligence models to synthesize conversational scripts, render visual video scenes, and align automated captions.

No Guarantee of Social Media Metrics: Because social media algorithms (including Instagram, YouTube, TikTok, and Facebook) operate independently and change dynamically, VidFrame AI makes no warranties, express or implied, regarding viewer impressions, follower growth, engagement rates, or monetization outcomes from videos generated by or published through our platform.

5. Acceptable Use Policy & Zero-Tolerance Content Safety

We maintain strict automated and manual content safety controls to protect our community and comply with partner platform policies. You agree NOT to use VidFrame AI to create, upload, render, or distribute content that contains or promotes:

VidFrame AI reserves the right to immediately suspend or permanently terminate any account that violates this Acceptable Use Policy without prior notice or refund.

6. Intellectual Property Rights

Your Content: Between you and VidFrame AI, you retain ownership of the character names, input prompts, and resulting rendered MP4 video files created through your authorized account, subject to the underlying terms of third-party model providers. You grant VidFrame AI a limited, non-exclusive license to host, process, and transmit your content solely to deliver the Service (e.g., rendering video and dispatching to social APIs).

Platform IP: The VidFrame AI platform, including its software code, user interface, brand assets, logos, design tokens, workflows, and documentation, is the exclusive proprietary property of VidFrame AI and protected by intellectual property laws.

7. Third-Party Social Media Integrations & APIs

VidFrame AI provides automated publishing functionality through official developer APIs, including the Meta Graph API for Instagram Reels.

• You agree to comply with all applicable terms of connected platforms, including the Meta Platform Terms, Instagram Community Guidelines, and YouTube/TikTok developer policies.
• Independent Status: VidFrame AI is an independent software tool and is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc., Google LLC, ByteDance Ltd., or any of their subsidiaries.
• We are not responsible for any actions taken by third-party platforms, including rate limits, shadowbans, account restrictions, or API outages.

8. Limitation of Liability & Indemnification

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VIDFRAME AI AND ITS DIRECTORS, EMPLOYEES, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL VIDFRAME AI’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO VIDFRAME AI IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

Indemnification: You agree to defend, indemnify, and hold harmless VidFrame AI and its affiliates from and against any claims, damages, liabilities, and expenses arising out of your content, your violation of these Terms, or your violation of any third-party rights.

9. Account Cancellation & Data Deletion

You may terminate your account at any time via Settings > Account Deletion. When initiated, your account enters a 7-day grace period during which all automated schedules are immediately frozen. If you change your mind within 7 days, you can log in to restore your account. Upon expiration of the grace period, your personal information, OAuth credentials, and character data are permanently erased in accordance with our Privacy Policy (subject to statutory financial record retention requirements under applicable tax law).

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts in India.
